Legal Retainer Services in Kazakhstan | GK and Partners

Retainer legal services for groups of companies in Kazakhstan

Personal tax and corporate support for groups of companies and large businesses across Kazakhstan. We take on a limited number of retainer clients, so every question is handled personally by a partner of the firm and is not passed down to junior lawyers. Taxes, contracts, corporate decisions, share transactions and AIFC structures: all in one monthly subscription with a clear scope of work. From KZT 1,000,000 per month.

When does a group of companies need a permanent lawyer?

HOW DO WE WORK?

Business study

We study the group structure, key contracts and existing tax and corporate risks. After that we respond faster because we already know your business.

Personal support

The head of the firm is assigned to your group: a tax lawyer with experience at the Tax Committee of the Ministry of Finance and an MBA from Nazarbayev University. He personally answers questions, prepares opinions and is responsible for the result.

Contract work

We develop and coordinate contracts with counterparties, check drafts for risks, and optimize standard forms.

Memoranda and advice

For complex issues we prepare written memoranda with an analysis of the rules, case law and recommendations. Day-to-day questions are handled in oral and written consultations.

Corporate support

We prepare corporate resolutions and documents, support transactions with shares and changes in the company structure.

Cost

Retainer services from KZT 1,000,000 per month. The final price depends on the number of companies in the group and the scope of work and is fixed in the contract.

Practice examples

Holding structure and the AIFC tax regime

Situation. A group of companies planned to distribute net income within the holding using the AIFC tax regime.

Task. To assess the tax and legal consequences at each link of the chain and whether dividends could be exempt from tax.

Result. The client received a written memorandum analysing the risks and structuring options before making a decision.

Sale of non-repairable parts after a change in the law

Situation. A company regularly sells non-repairable parts and units that arise from the repair and write-off of its own fixed assets. After amendments to the law took effect in August 2026, the buyer demanded that supplies be documented as metal scrap and waste without VAT, while the law did not clearly say whether the seller needs a permit.

Task. To assess whether such parts can be sold as scrap without VAT and without a permit, and what risks this creates in tax control.

Result. The client received a written position on VAT and the permit regime and an assessment of the remaining risks in a desk audit.

Converting a participant loan into charter capital

Situation. A limited liability partnership owed a loan to its participant, and the participant was considering offsetting the debt against an increase of the charter capital.

Task. To assess the legal consequences and limits of such a conversion.

Result. The client received a memorandum analysing the limits, case law and the procedure to follow.
